These Terms of Service ("Terms") govern your access to and use of the website located at www.weverifynky.com (the "Site") and the mortgage and insurance field services provided by We Verify NKY ("We Verify NKY," "we," "us," or "our"), including property inspections, occupancy verification, property preservation, REO services, and related field services (collectively, the "Services").

These Terms apply to all visitors to the Site, prospective and current Clients, and vendors/field representatives who sign up through the Site ("you," "your"). By accessing the Site, submitting an inquiry, engaging our Services, or completing a vendor sign-up, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Overview of Services

We Verify NKY is a locally owned and operated mortgage field services company serving Northern Kentucky (including Boone, Kenton, and Campbell Counties) and the greater Cincinnati, Ohio market. We provide field services to mortgage servicers, lenders, asset managers, and insurance companies, including but not limited to:

- Occupancy verification and vacancy determination inspections

- Property condition inspections (initial, periodic, damage, and hazard inspections)

- FHA conveyance condition inspections

- Contact and letter delivery to borrowers

- Default and delinquency field visits

- Commercial property and business/merchant verification checks

- Post-storm and natural disaster damage assessments

- Insurance loss and disaster/hazard inspections

- Property preservation services (securing, debris removal, lawn maintenance, snow removal, damage mitigation, and related upkeep)

- REO property inspection and quality-control services

Specific scope, pricing, turnaround times, and deliverables for any engagement are governed by the applicable work order, purchase order, or separate written services agreement between We Verify NKY and the Client ("Service Agreement"). If a conflict arises between these Terms and a signed Service Agreement, the Service Agreement controls with respect to that engagement.

2. Eligibility and Use of the Site

You must be at least 18 years old and capable of forming a binding contract to use the Site, request Services, or submit a vendor application. By using the Site, you represent that the information you provide is accurate and that you have the authority to act on behalf of any company or organization you represent.

You agree not to:

- Use the Site for any unlawful purpose or in violation of these Terms

- Attempt to gain unauthorized access to the Site, our systems, or other users' data

- Interfere with or disrupt the Site's operation, security, or availability

- Submit false, misleading, or fraudulent information through any form on the Site

- Scrape, harvest, or otherwise extract data from the Site without our written consent

3. Client Engagements

Clients (mortgage servicers, lenders, asset managers, insurance companies, and MGAs) requesting Services through the Site, phone, or email agree that:

- Each assignment is subject to acceptance by We Verify NKY and, where applicable, a Service Agreement or vendor management platform terms

- Client is responsible for providing accurate property, borrower, or assignment information necessary to complete the Service

- Inspection reports, photographs, and findings are prepared for the Client's use in connection with the specific assignment and are based on observations made at the time of inspection; conditions may change after the inspection date

- Turnaround times are estimates and may be affected by property access, weather, local ordinances, or other factors outside our control

- Fees, invoicing terms, and payment schedules will be set out in the applicable Service Agreement or rate sheet

4. Vendor / Field Representative Sign-Up

Individuals or businesses applying to become field representatives or vendors through our Vendor Sign-Up page agree that:

- All application information (licensing, insurance, tax ID/W-9, references, and related documentation) must be accurate, current, and promptly updated if it changes

- Submission of an application does not guarantee engagement; We Verify NKY may accept, reject, or terminate a vendor relationship at its discretion

- Approved vendors must maintain required insurance coverage, applicable licensing, and compliance with industry and Client-specific standards for the duration of any engagement

- Vendors are independent contractors, not employees of We Verify NKY, unless otherwise stated in a signed agreement

- Vendors must handle all property, borrower, and Client information they access in the course of an assignment as confidential, and in accordance with any applicable nondisclosure or data-handling terms

- Compensation, assignment terms, and performance standards for vendors are governed by a separate vendor agreement where applicable

5. Intellectual Property

All content on the Site — including text, graphics, logos, images, and the "We Verify NKY" name and branding, is owned by or licensed to We Verify NKY and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from Site content without our prior written consent, except as necessary to use the Site for its intended purpose (e.g., submitting a form).

Inspection reports, photographs, and deliverables prepared for a Client remain subject to the ownership and usage terms set out in the applicable Service Agreement.

6. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY OHIO AND KENTUCKY LAW, WE VERIFY NKY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Inspection and field service reports reflect observations made at a specific point in time and are based on visible, accessible conditions unless otherwise stated. We do not guarantee that a property's condition will remain unchanged after an inspection, and our reports are not a substitute for a licensed home inspection, appraisal, engineering assessment, or legal determination of occupancy or title status. Clients and third parties should not rely on our reports as the sole basis for legal, financial, or regulatory decisions without independent verification where appropriate.

We do not guarantee uninterrupted or error-free operation of the Site and are not responsible for technical issues, delays, or data loss arising from use of the Site.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE VERIFY NKY AND ITS OWNERS, EMPLOYEES, AND FIELD REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY OHIO AND KENTUCKY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SITE OR SERVICES WILL NOT EXCEED THE FEES PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM, UNLESS OTHERWISE SPECIFIED IN A SIGNED SERVICE AGREEMENT.

Nothing in these Terms limits liability that cannot be limited under Ohio or Kentucky law, including liability for gross negligence, willful misconduct, or fraud.

8. Indemnification

You agree to indemnify and hold harmless We Verify NKY, its owners, employees, and field representatives from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) inaccurate information you submit through the Site; (c) your violation of applicable law; or (d) your misuse of any inspection report or deliverable outside the scope of the applicable Service Agreement.

9. Confidentiality

In the course of performing Services, We Verify NKY may receive confidential or nonpublic information from Clients, including borrower or property information subject to the “Gramm-Leach-Bliley Act (GLBA)” and related regulations. We will handle such information in accordance with our Privacy Policy and any confidentiality terms in the applicable Service Agreement. Clients and vendors similarly agree not to disclose confidential information obtained through their relationship with We Verify NKY except as required by law or authorized in writing.

10. Termination

We may suspend or terminate your access to the Site, or decline or discontinue a vendor relationship or Client engagement, at our discretion, including for suspected violation of these Terms, fraud, or unprofessional conduct. Termination of a specific engagement does not affect obligations that by their nature should survive, including confidentiality, indemnification, payment obligations for completed work, and limitation of liability.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the “Commonwealth of Kentucky”, without regard to its conflict-of-laws principles, except where a Client's or vendor's Service Agreement specifies otherwise. For matters arising from Services performed in Ohio, applicable Ohio law may also apply to the extent required.

Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state or federal courts located in Kenton County, Kentucky, unless otherwise agreed in writing in a Service Agreement. Nothing in this section prevents either party from seeking equitable relief where appropriate.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.

13. Relationship to Privacy Policy

Our collection, use, and disclosure of information through the Site and in connection with the Services are described in our Privacy Policy, which is incorporated into these Terms by reference.

14. Severability

If any provision of these Terms is found unenforceable under Ohio or Kentucky law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
